Philippe Nugue works primarily on the structuring, drafting, reviewing and negotiation of French and cross-border securitisation transactions. Since his arrival in the Finance Department of Gide Loyrette Nouel at the beginning of 2002, Philippe has worked on various securitisation transactions relating to trade receivables, housing loans, restructuring loans, financial receivables, etc. He has also advised financial institutions on whole business and synthetic securitisation transactions.
In 2006, Philippe was a member of Gide Loyrette Nouel's securitisation team which advised Merrill Lynch International in relation to the EUR 332,280,000 housing loans securitisation transaction arranged by the latter in favour of EDF. The bonds issued by the issuer (FCC Minotaure -Compartment 2004-1) are listed on the Paris Stock Exchange (Eurolist).
In 2005, Philippe advised a major French investment bank in relation to the first French ABS securitisation transaction backed by restructuring loans. Under this transaction, the securitisation vehicle refinanced itself by issuing about EUR 150,000,000 senior and subordinated bonds (obligations), both listed on the Paris Stock Exchange (Eurolist), and about EUR 40,000,000 residual units.
In 2004, Philippe advised a major French investment bank on the structuring and finalisation of a EUR 600,000,000 trade receivables securitisation transaction arranged in favour of a European subsidiary of a major American IT company and a EUR 500,000,000 transaction arranged in favour of a French IT Company.
In 2003, Philippe was a member of Gide Loyrette Nouel's securitisation team which advised Merrill Lynch International in relation to the EUR 398,000,000 whole business securitisation transaction arranged by the latter in favour of Xerox France (FCC Copy First Compartment 2003-1). The units issued by the issuer (FCC CopyFirst - Compartment 2003-1) are listed on the Paris Stock Exchange (Eurolist).
Prior to Gide Loyrette Nouel, Philippe was an associate in the Beijing office of Coudert Brothers, an American law firm known for its experience in international transactions. During that period, Philippe worked on various cross-border transactions between Europe and China. In particular, he advised French and foreign companies on foreign investment issues, the setting up and restructuring of several Chinese foreign-owned entities (equity joint ventures, wholly foreign-owned entities, etc.) as well as on distribution and commercial matters in the People's Republic of China.
