1) Concerning the listed parent company :
o Preparing all materials for Board of Directors Meetings, and its committees, as well as the General meeting of shareholders
o Preparing the corporate information for the Document de Reference and all materials and reports required by the Law for a listed company
o Corporate governance matters, including proxy recommendations and governance code (AFEP-MEDEF)
o Securities matters, including voting rights declarations, purchase of shares via its “buy-back” program, and monitoring insider trading rules.
o Matters relating to free share and stock options plans : drafting of plan rules and organization of the delivery of shares. Any answers to day to day questions
2) Related to the legal matters of the subsidiaries :
o Maintaining the Corporate data base system and corporate organization chart.
o Follow up of day to day corporate matters of legal entities of the Group, including share capital increases, changes in bylaws or governance issues, preparation of powers of attorney, and review of annual resolutions of each entity in connection with the approval of dividends and financial statements
o Intra-Group Agreements, including trademark license, commercial support services and loan agreements as the case maybe in compliance with the price transfer policy
o Working on corporate reorganizations and restructurings from a legal perspective
o Collaborate with regional legal teams and Group legal department on global projects
o Supervision of two junior lawyers in corporate department
3) Other responsibilities :
o Working with Group Treasury regarding the review of financing agreements
o Participate to M&A issues or partnerships : due diligence,choice of the form of the acquisition (SPA/APA); implementation of the internal rules after the acquisition
