Mon expérience s'étend à différents aspects du droit des affaires, et plus particulièrement au droit des contrats (distribution, vente, conditions générales, partenariats,contrats internationaux), droit des sociétés, relations entre actionnaires et contentieux commercial.
J'ai également acquis une compétence reconnue dans le domaine des startups, que j'accompagne au long de leur développement commercial.

• Contract & Commercial Law (Negotiation and drafting of national and international agreements and advice to companies regarding the termination of such contracts, drafting general terms and conditions of purchase, sale and distribution etc.);
• Corporate Law (A-to-Z monitoring of corporate activities, counselling clients regarding the creation of a new activity (from choosing the most appropriate legal structure, to establishing a representation office, to the creation of a subsidiary, etc.);
• Mergers & Acquisitions (Negotiating and preparing NDA & LOI, conducting audits, preparation and analysis of data-rooms, negotiating and drafting share purchase and sales agreements etc.);
• Litigation & Debt Recovery (construction of effective legal strategy, enforcement of judgments, out of court settlement if this fits better the client's goals, etc.).
Examples of past and present missions:
• Audit and renewal of the contractual structure of a European group of companies specialised in the manufacturing and distribution of endoscopy products;
• Negotiation and drafting of international distribution agreements for a parapharmaceutical Group;
• Sale of the European subsidiaries of an American IT company to a forestry and turf care equipment company (m€ 300+);
• Sale of a French software Group to a Swiss SSII (m$ 80+);
• Supervision of commercial litigation cases for an important hotline provider.
