CORPORATE LAW, MERGERS AND ACQUISITIONS:
- Member of a team performing legal due diligence and advising in subsequent transaction on acquisition of various business targets: a query situated in Slovakia, an operator of medical laboratories, etc.
- Advising one of the world's largest lamp manufacturers in the world on the acquisition of a Slovak light bulb producer.
- Advising one of the world's largest manufacturers of refractory materials on the acquisition of a Slovak magnesite producer. Work included providing advice on the structuring of the transaction as well as preparing the share purchase agreement, litigation procedures.
- Advising a leading health care manufacturer, distributor and servicer of medical devices on warehousing legal requirements in connection with the distribution of medical devices in the Slovak Republic.
- Participated in advising world’s leading oil & gas company on the purchase of fuelling stations in the Slovak republic.
LITIGATION & ARBITRATION:
- Participated in representation of a Hungarian client in a number of significant lawsuits regarding the validity and enforceability of a privatization agreement and an arbitral award of the Vienna International Arbitral Center, imposing considerable contractual penalties on one of the biggest Slovak producers.
- Advising a Slovak sugar producer on various issues regarding the European sugar market regulations, litigation procedures.
- Participation in representation of the corporate and individual clients in a number of commercial and civil lawsuits.
FINANCE:
- Advising various EU banks on passporting securities prospectus to Slovak Republic, notification of the Slovak National Bank, publication requirements in respect of a public offering of securities in Slovakia.
- Advising clients on various issues with respect to issuance of bonds in the Slovak republic, private placement of securities, take over regulation, etc.
- Advising clients on the suitable types of security, drafting the security agreements, liaising with the borrowing group's representative in Slovakia and the authorities in relation to the execution and registration of the securities agreements.
VARIOUS:
- Advice on various issues of shipping law, financing of building new maritime vessels, registration / deregistration of maritime vessels in the Slovak Maritime Registry.
- Advice regarding whistleblowing policies in Slovakia.
- Preparation of legal memorandums, drafting and commenting on various legal issues.
